Common use of Powers of Limited Partners; Resolutions Binding Clause in Contracts

Powers of Limited Partners; Resolutions Binding. The Limited Partners will have only the powers set out in this Agreement and any additional powers provided by Law. Subject to the foregoing sentence, any resolution passed in accordance with this Agreement will be binding on each Partner and that Partner’s respective heirs, executors, administrators, successors and assigns, whether or not that Partner was present in person or voted against any resolution so passed.
