Common use of Power of the Board Clause in Contracts

Power of the Board. ‌ (a) The Plan is administered by the Board which has power to: (i) determine appropriate procedures for administration of the Plan consistent with this Plan; and (ii) delegate to any one or more persons, for such period and on such conditions as it may determine, the exercise of any of its powers or discretions arising under the Plan. (b) Except as otherwise expressly provided in this Plan, the Board has absolute and unfettered discretion to act, or refrain from acting, under or in connection with the Plan or any Awards under the Plan and in the exercise of any power or discretion under the Plan.
