Common use of Power and Authority; Due Authorization, Execution and Delivery Clause in Contracts

Power and Authority; Due Authorization, Execution and Delivery. The execution and delivery by the Servicer of this Agreement and each other Transaction Document to which it is a party, the performance of its obligations hereunder and thereunder, are within its corporate powers and authority and have been duly authorized by all necessary corporate action on its part. This Agreement and each other Transaction Document to which the Servicer is a party has been duly executed and delivered by the Servicer.

Power and Authority; Due Authorization, Execution and Delivery. The execution and delivery by the Servicer Collection Agent of this Agreement and each other Transaction Document to which it is a party, the performance of its obligations hereunder and thereunder, are within its corporate powers and authority and have been duly authorized by all necessary corporate action on its part. This Agreement and each other Transaction Document to which the Servicer Collection Agent is a party has been duly executed and delivered by the ServicerCollection Agent.
