Common use of Potential Action Clause in Contracts

Potential Action. Since the date of this Agreement, there shall not have occurred any action, suit, investigation or proceeding pending or, to the Knowledge of the Company, threatened in writing in any court or before any arbitrator or governmental authority, in each case, that could reasonably be expected to have a Material Adverse Effect.
