Common use of Post-Termination Arrangements Clause in Contracts

Post-Termination Arrangements. Except in the case of termination as a result of a Party's Default under Section 2.3 below, or termination upon sale, pursuant to Section 2.5, services and elements purchased under this Agreement and existing at the time of termination, may continue: 2.2.1 As if under this Agreement, if either Party has requested negotiation of a new agreement pursuant to Sections 251 and 252 of the Act, (i) until this Agreement has been replaced by a new agreement, or (ii) for up to twelve months following the Termination Date, whichever is earlier. 2.2.2 If this Agreement is not continued pursuant to subsection (2.2.1), the Parties shall continue operating, without interruption, pursuant to (i) a new agreement voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers; and / or (iv) rates, terms and conditions available under the Act, including, without limitation, Section 252(i).

Except in the case of termination as a result of a either Party's Default Default, under Section 2.3 below, or termination upon sale, pursuant to Section 2.5, services and elements purchased for Service arrangements made available under this Agreement and existing at the time of termination, those arrangements may continue: 2.2.1 (a) As if under this Agreement, if either Party has requested negotiation of negotiations for a new agreement pursuant to Sections 251 and 252 of the Act, (i) until this Agreement has been replaced by a new agreement, or (ii) for up to twelve months one hundred eighty (180) calendar days following the Termination Date, whichever is earlier. 2.2.2 (b) If this Agreement is not continued pursuant to subsection (2.2.1)a) preceding, the Parties shall then existing Service arrangements may continue operating, without interruption, pursuant to interruption under (i) a new agreement voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers; and / or (iv) rates, terms and conditions available any rights under Section 252(i) of the Act, including, without limitation, Section 252(i).

Except in the case of termination as a result of a either Party's Default under Section 2.3 below, or a termination upon sale, pursuant to Section 2.52.4, services and elements purchased for service arrangements made available under this Agreement and existing at the time of termination, those arrangements may continue, without the imposition of any new or additional non-recurring or transitional charges: 2.2.1 (a) As if under this Agreement, if either Party has requested negotiation of negotiations for a new agreement pursuant to Sections 251 and 252 of the Act, (i) until this Agreement has been replaced by a new agreement, or (ii) for up to twelve months one hundred eighty (180) calendar days following the Termination Date, whichever is earlier. 2.2.2 (b) If this Agreement is not continued pursuant to subsection (2.2.1), the Parties shall continue operating, without interruption, pursuant to a) preceding under (i) a new agreement voluntarily executed by the Parties; (ii) standard terms and conditions approved and made generally effective by the Commission, if any; (iii) tariff terms and conditions made generally available to all Local Providers; and / or (iv) rates, terms and conditions available any rights under Section 252(i) of the Act, including, without limitation, Section 252(i).

If none of the above are available, the Parties shall continue under this Agreement until a new agreement becomes effective.
