The Post Office Boxes clause establishes rules regarding the use of post office box addresses in contractual communications or notices. Typically, this clause specifies whether parties are permitted to use a P.O. Box as an official address for receiving legal documents, invoices, or formal correspondence, and may require a physical address for certain types of notices. Post Office Boxes. On or prior to the date hereof, deliver to the Servicer (on behalf of the Company) a certificate from an authorized officer of such Originator to the effect that (i) the name of the renter of all post office boxes into which Collections may from time to time be mailed have been changed to the name of the Company (unless such post office boxes are in the name of the relevant Lock-Box Banks) and (ii) all relevant postmasters have been notified that each of the Servicer and the Administrator are authorized to collect mail delivered to such post office boxes (unless such post office boxes are in the name of the relevant Lock-Box Banks).

In the event the Sub-Servicer shall for any reason no longer be acting as such, the outgoing Sub-Servicer shall, at the expense of the outgoing Sub-Servicer, deliver to the successor Sub-Servicer all documents and records relating to the Depository Accounts and an accounting of amounts collected and held by the Depository Banks and shall otherwise, in a manner not inconsistent with the Master Agency Agreement, if applicable, use its best efforts to effect the orderly and efficient transfer of any funds in the Depository Accounts to the successor Sub-Servicer. The Servicer, at its expense in a manner not inconsistent with the Master Agency Agreement, if applicable, shall cause the Depository Banks to deliver, at the direction of the Purchaser or the successor Depository Banks, all documents and records relating to the Receivables and all amounts held (or thereafter received) by the Depository Banks with respect to the Receivables (together with an accounting of such amounts) and shall otherwise, in a manner not inconsistent with the Master Agency Agreement, if applicable, use its best efforts to effect the orderly and efficient transfer of the depository arrangements, and the Sub-Servicer shall cooperate to facilitate such change.
Post Office Boxes. The Notice Administrator or their designated agent(s) shall rent one or more post-office boxes in the name of the Clerk of the Court, to be used for receiving requests for exclusion from the Class and any other communications. Other than the Court or the Clerk of Court and the Notice Administrator, only New Balance, New Balance’s Counsel, Class Counsel, and their designated agents shall have access to these post-office box(es).
Post Office Boxes. The numbers and addresses of all the Post Office Boxes are specified in Exhibit N hereto (or at such other Post Office Boxes as have been notified to the Agent and for which Post Office Box Agreements have been executed in accordance with Section 2.8(b) hereof and delivered to the Agent). All Obligors have been directed to make payment to a Post Office Box or to retail store locations owned by the Debtor or a Designated Seller.

Within 10 Business Days after the date hereof, Union shall deliver to the Agent (i) duly executed (a) Lockbox Agreements with each of the Lockbox Banks listed on Schedule 6.01(n) in form and substance substantially similar to Exhibit 7.01(i)(a), (b) the Collection Account Agreement with the Collection Account Bank in form and substance substantially similar to Exhibit 7.01(i)(b), and (c) the Liquidation Account Agreement with the Liquidation Account Bank in form and substance substantially similar to Exhibit 7.01(i)(c) and (ii) a certificate from an authorized officer of Union to the effect that (a) the name of the renter of all post office boxes into which Collections may from time to time be mailed have been changed to the name of Seller (unless such post
Post Office Boxes. (a) The parties hereto acknowledge that certain Collections may be remitted by Obligors directly to the Originator (at a field office or otherwise) or to any Post-Office Box. The Originator agrees that it will instruct each of its employees that is responsible for receiving any Collections that the Originator and such employee (i) are acting as servicer for the Buyer, (ii) owe a duty of due care to the Buyer in all of their actions relating to the handling and deposit of such Collections and (iii) are liable to the Buyer for breaches such duty of due care.
(b) On the Closing Date, the Originator execute a Postal Direction Letter with respect to each Post-Office Box and no later than ten (10) Business Days after the Closing Date, the Seller shall execute a Postal Power of Attorney for each Post Office Box. The Originator shall not establish new Post-Office Boxes without delivering to Buyer (and its assigns) a Postal Power of Attorney and a Postal Direction Letter with respect thereto and a revised Exhibit XI.
(c) The Originator shall not establish new Depositary Accounts into which Collections are deposited unless such account is (i) in the name of the Seller and (ii) either (A) an account maintained with Bank of America, National Association which is automatically swept to a Concentration Account on a daily basis or (B) an account with respect to which NDC has been instructed to direct funds to be swept into a Concentration Account on a daily basis.
(d) Without the prior written consent of the Agent, the Originator shall not change any sweep instructions given to Bank of America, National Association or NDC.
(e) The Originator shall not engage any Person other than NDC to give instructions with respect to bank accounts (other than accounts maintained with Bank of America, National Association) into which Collections are deposited without the prior written consent of the Agent; provided, that any successor to NDC shall agree to comply with the provisions of this Agreement and the other Transaction Documents with respect to the handling of Collections.
