Possession of Licenses and Permits. The Company and its subsidiaries possess, and are in compliance with the terms of, all adequate certificates, authorizations, franchises, licenses and permits (“Licenses”) necessary or material to the conduct of the business now conducted or proposed in the General Disclosure Package to be conducted by them and have not received any notice of proceedings relating to the revocation or modification of any Licenses that, if determined adversely to the Company or any of its subsidiaries, would individually or in the aggregate have a Material Adverse Effect.

Possession of Licenses and Permits. The Company and its subsidiaries possesspossess such permits, licenses, approvals, consents and are in compliance with the terms ofother authorizations (collectively, all adequate certificates, authorizations, franchises, licenses and permits (“Governmental Licenses”) issued by the appropriate federal, state, local or foreign regulatory agencies or bodies necessary or material to the conduct of the business now conducted operated by them; and except as would not, individually or proposed in the General Disclosure Package to be conducted by them and have not aggregate, result in a Material Adverse Effect, neither the Company nor any of its subsidiaries has received any notice of proceedings relating to the revocation or modification of any Licenses that, if determined adversely to the Company or any of its subsidiaries, would individually or in the aggregate have a Material Adverse Effectsuch Governmental Licenses.
