Possession of Licenses and Permits; Compliance with Laws. Except as disclosed in the Registration Statement, General Disclosure Package and Final Prospectus, the Company and its Subsidiaries possess, and are in compliance with the terms of, all adequate certificates, authorizations, franchises, licenses and permits and have made all declarations and filings with, the appropriate domestic or foreign governmental or regulatory authorities (collectively, “Licenses”) necessary or material to the conduct of the business now conducted or proposed in the Registration Statement, General Disclosure Package and Final Prospectus to be conducted by them and have not received any notice of proceedings relating to the revocation or modification of any Licenses. Except as disclosed in the Registration Statement, General Disclosure Package and Final Prospectus, the Company and its Subsidiaries are in compliance with all applicable laws in the jurisdictions to which such entities are subject.
