Common use of Position Clause in Contracts

Position. Executive is employed as Executive Vice President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed shall serve as the Company’s Executive Vice President and Chief Financial Officer Officer. During the term of Executive’s employment with the Company, Executive will devote Executive’s best efforts and shall report substantially all of Executive’s business time and attention to the business of the Company, except for approved vacation periods and have reasonable periods of illness or other incapacities permitted by the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executivegeneral employment policies.

Position. During the Term, Executive is employed shall serve as Executive Vice President and – Chief Financial Officer and of the Company. Executive shall report directly to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (the “CEO”) ). In such capacity, Executive shall have the duties, functions, responsibilities, and authority customarily appertaining to that position and shall have such other duties, functions, responsibilities, and authority consistent with such position as may be reasonably assigned are from time to time. Executive shall perform faithfully and diligently all duties assigned time delegated to Executive. Company reserves her by the right to modify ExecutiveCompany’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutiveCEO.

Position. Executive is employed as Executive Vice President and Chief Financial Officer of Company and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company at the present date and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report directly to the Chief Financial Executive Officer or are otherwise agreed upon with Executivethe Board of Directors of Company.

Position. During the Term, Executive is employed shall serve as Executive Vice President and – Chief Financial Operating Officer and of the Company. Executive shall report directly to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (the “CEO”) ). In such capacity, Executive shall have the duties, functions, responsibilities, and authority customarily appertaining to that position and shall have such other duties, functions, responsibilities, and authority consistent with such position as may be reasonably assigned are from time to time. Executive shall perform faithfully and diligently all duties assigned time delegated to Executive. Company reserves him by the right to modify ExecutiveCompany’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.CEO

Position. Executive is employed shall serve as Executive Vice President and Chief Financial Officer of the Company and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer of the Company (“CEO”) as may be reasonably assigned from time to time). Executive shall perform faithfully duties consistent with his title and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and any other reasonable duties at determined by the CEO. If requested by the Board of Directors of the Company (the “Board”), Executive shall serve as an officer and/or director of any time in its sole and absolute discretion, provided that of the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer Company’s affiliates or are otherwise agreed upon with Executivesubsidiaries for no additional consideration.

Position. Executive is employed as Executive Vice President President, Corporate Business Development, Digital Content and Chief Financial Officer Media Solutions, and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to Executive from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutivePresident.

Position. Executive is employed as Executive Vice President of Finance and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Officer, both upon the Effective Date and as may reasonably be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Officer or are otherwise agreed upon with ExecutiveExecutive Officer.

Position. Executive is employed as Company’s Executive Vice President and Chief Financial Officer President, Strategy & Emerging Businesses and shall report to and have the duties and responsibilities assigned by Companyresponsibilities, commensurate with the Executive’s Chief Executive Officer (“CEO”) position, as may be reasonably assigned from time to timetime by Company’s Chief Executive Officer, to whom Executive shall report. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President of Corporate Development and Chief Financial Officer General Counsel and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer Board of Directors (“CEOBoard of Directors”) both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President Product Development and Chief Financial Officer Management, and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President Product Development and Chief Financial Officer Management or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President and President, Chief Financial Officer of Bank, subject to the direction of the President and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (hereinafter “CEO”) as or its designee(s) and shall perform and discharge well and faithfully the duties which may be reasonably assigned to Executive from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time by Employer in its sole and absolute discretion, provided that the duties assigned are consistent connection with the position conduct of its business. The duties and responsibilities of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executiveset forth on Exhibit A attached hereto.

Position. Executive is employed as Executive Vice President and Chief Financial Officer of Company, and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) set forth on Exhibit B and such other comparable duties as may be reasonably assigned by the Company's Chief Executive Officer from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and 's duties at any time in its sole and absolute discretion, provided that . Executive shall also serve as the duties assigned are consistent with the position of Executive Vice President and Chief Financial Operating Officer or are otherwise agreed upon with Executiveof CynergisTek.

Position. The Executive is employed as the Executive Vice President, Chief Credit Officer, Chief Compliance and Risk Manager of the Bank, subject to the direction of the President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (hereinafter “CEO”) as or its designee(s) and shall perform and discharge well and faithfully the duties which may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves time by the right to modify Executive’s position and duties at any time Employer in its sole and absolute discretion, provided that the duties assigned are consistent connection with the position conduct of its business. Executive is employed as Executive Senior Vice President and Chief Financial Officer General Counsel and shall report to and have the duties and responsibilities assigned by Company’s 's Chief Executive Officer (“CEO”) ), as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Senior Vice President and Chief Financial Officer General Counsel or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President President, Finance and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President President, Finance and Chief Financial Officer or are otherwise agreed upon with ExecutiveOfficer.

Position. Executive is employed as Executive Vice President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company both upon the Effective Date and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Executive Officer or are otherwise agreed upon with Executive("CEO").

Position. Executive is employed as Executive Vice President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by the Company’s Chief Executive Officer (“CEO”) both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. The Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided except that the any material diminution in Executive’s duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executiveshall be subject to Section 7.3(ii) below.

Position. Executive is employed as Executive Vice President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (the “CEO”) both upon the Effective Date and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executivecontinues to report to the CEO.

Position. The Executive is employed as Executive Vice President of -------- the Company and the Bank and Chief Financial Lending Officer of the Bank and, subject to the direction of the Chief Executive Officer of the Company and the Bank, shall report perform and discharge well and faithfully the duties which may be assigned to and have him from time to time by such Chief Executive Officer in connection with the conduct of the Employer's business. The duties and responsibilities assigned by Company’s Chief of the Executive Officer (“CEO”) as may be reasonably assigned from time to timeare set forth on Exhibit "A" attached hereto. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.----------

Position. Executive is employed as Executive Senior Vice President and Chief Financial Operations Officer and shall report to and have the duties and responsibilities assigned by the Company’s Chief Executive Officer (“CEO”) Officer, as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Company’s Executive Vice President and Chief Financial Technology Officer and shall report to and have the duties and responsibilities assigned by Companyresponsibilities, commensurate with the Executive’s Chief Executive Officer (“CEO”) position, as may be reasonably assigned from time to timetime by Company’s Chief Executive Officer, to whom Executive shall report. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President and Chief Financial Operating Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutiveOperating Officer.

Position. Executive is employed as Executive Vice President and Chief Financial Officer of Operations and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company both upon the Effective Date and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Executive Officer or are otherwise agreed upon with Executive("CEO").

Position. Executive is employed as Executive Vice President and Chief Financial Officer of Production and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company both upon the Effective Date and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Executive Officer or are otherwise agreed upon with Executive("CEO").

Position. During the term of Executive’s employment, Executive is employed shall serve as Executive Vice President and Chief Financial Officer General Counsel and shall report to and have the will perform such duties and responsibilities assigned exercise such supervision with regard to the business of the Company as are associated with such position, including being responsible for the general legal and regulatory matters of the Company and such other duties as may be prescribed from time to time by Company’s the Chief Executive Officer (“CEO”) as may be reasonably assigned from time to timeof the Company. Position. During the term of Executive’s employment, Executive is employed shall serve as Executive Vice President and Chief Financial Officer of the Company and shall report to be responsible for the general financial matters of the Company as directed by the Chief Executive Officer. Executive’s duties shall include formulating Company financial policy and have plans, directing activities associated with the duties and responsibilities assigned by investment of the Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to timeassets and funds, and the general management of accounting, tax, insurance, budget, credit and treasury functions. Executive shall perform faithfully such additional duties and diligently all duties assigned have the responsibilities and powers as delegated to Executivehim from time to time by the Chief Executive Officer. Company reserves Executive shall report directly to the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that Chief Executive Officer of the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutiveCompany.

Position. Executive is employed as Executive Vice President and Chief Financial Officer President, Services, and shall report to and have the duties and responsibilities assigned by Company’s 's Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer President, Services or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President of Research and Development and Chief Financial Technical Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Officer, both upon the Effective Date and as may reasonably be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Officer or are otherwise agreed upon with ExecutiveExecutive Officer.

Position. During the Employment Term, the Executive is employed shall serve as Executive Vice President and the Chief Financial Officer and shall report Executive Vice President of Business Operations and Marketing (collectively, the “CFO”) of the Company reporting directly to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) ), and when appropriate and in connection with financial reporting and disclosure, to the Audit Committee and respective Chairperson. In such position, the Executive shall have such duties, authority, and responsibilities as may shall be reasonably assigned determine from time to time. Executive shall perform faithfully time by the CEO, which duties, authority, and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned responsibilities are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive’s position.

Position. Executive is employed will serve as Executive Vice President President, Chief Legal and Chief Financial Administrative Officer and shall report Corporate Secretary, reporting to Company’s Chief Executive Officer. Executive will have such duties, authority and have the duties and responsibilities assigned responsibility as may be determined from time to time by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretionOfficer, provided that the duties assigned which are consistent with Executive’s position. Executive will, if requested by Company, also serve as a member of the position Board of Executive Vice President and Chief Financial Officer Directors of Company (“Board”) or are otherwise agreed upon with Executiveas an officer or director of any affiliate of Company for no additional compensation.

Position. Executive is employed as Executive the Company’s Chief Financial Officer, Corporate Secretary and Senior Vice President and Chief Financial Officer of Finance and shall report to and have the duties and responsibilities assigned by the Company’s Chief Executive Officer (“CEO”) both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. The Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executivesubject to Section 7.3 below.

Position. Executive is employed as Executive Vice President and Chief Financial Officer President, Human Resources and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutivePresident, Human Resources.

Position. During the Term, Executive is employed shall serve as the Company’s Executive Vice President and President, Chief Financial Officer Officer, and Treasurer (the “CFO”). Executive shall report directly to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) ). In such capacity, Executive shall have the duties, functions, responsibilities, and authority customarily appertaining to that position and shall have such other duties, functions, responsibilities, and authority consistent with such position as may be reasonably assigned are from time to time. Executive shall perform faithfully and diligently all duties assigned time delegated to Executive. Company reserves him by the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutiveCEO.

Position. Executive is employed as the Executive Vice President President, Finance and Chief Financial Officer Capital Markets and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Company’s Executive Vice President President, Emerging Business, Corporate and Chief Financial Officer Business Development and shall report to and have the duties and responsibilities assigned by Companyresponsibilities, commensurate with the Executive’s Chief Executive Officer (“CEO”) position, as may be reasonably assigned from time to timetime by Company’s Chief Executive Officer, to whom Executive shall report. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. During the Term, the Executive is employed will serve as the Executive Vice President and Chief Financial Officer of the Company, reporting directly to the President and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer of the Company (the “CEO”) ). The Executive will have such duties, authority and responsibility as may be reasonably assigned determined from time to time. Executive shall perform faithfully time by the CEO and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned as are reasonably consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive’s position, which duties will include, but not be limited to, those duties set forth in Appendix A hereto.

Position. The Executive is employed as the Executive Vice President and Chief Financial Officer of the Company and the Bank, subject to the direction of the President and Chief Executive Officer of the Company and the Bank, and shall report perform and discharge well and faithfully the duties which may be assigned to and have her from time to time by the Company or the Bank in connection with the conduct of its business. The duties and responsibilities assigned by Company’s Chief of the Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executiveset forth on Exhibit A attached hereto.

Position. Executive is employed as Executive Senior Vice President President, General Counsel and Chief Financial Officer Secretary and shall report to and have the duties and responsibilities reasonably assigned to him from time to time by the Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time). Executive shall perform faithfully and diligently all duties assigned to Executive. The Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided except that the any material diminution in Executive’s duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executiveshall be subject to Section 7.3(ii).

Position. Executive is employed as Executive Vice President and Chief Financial Officer President, National Production and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Executive Officer or are otherwise agreed upon with Executive(“CEO”).

Position. Executive is employed as Executive Vice President and Chief Financial Officer and shall report to and have the duties and responsibilities assigned by the Company’s 's Chief Executive Officer (“CEO”) Officer, as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and 's duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed as Executive Vice President and Chief Financial Officer President, Operations and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) Company both upon initial hire and as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of a senior executive and that Executive Vice President and continues to report to the Chief Financial Executive Officer or are otherwise agreed upon with Executive(“CEO”).

Position. Executive is employed as Executive Vice President and Chief Financial Officer President, Corporate Strategy & Development and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutivePresident, Corporate Strategy & Development.

Position. Executive is employed as Executive Vice President and Chief Financial Technology Officer and shall report to and have the duties and responsibilities assigned by Company’s Chief Executive Officer (“CEO”) as may be reasonably assigned to him from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Subject to Section 7.3, Company reserves the right to modify Executive’s position and duties at any time in its sole and absolute discretion, discretion provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with ExecutiveTechnology Officer.

Position. Executive is employed as Executive Senior Vice President and Chief Financial Officer General Counsel, and shall report to and have the duties and responsibilities assigned by Company’s 's Chief Executive Officer (“CEO”) as may be reasonably assigned from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executive’s 's position and duties at any time in its sole and absolute discretion, provided that the duties assigned are consistent with the position of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executive.

Position. Executive is employed will serve as Executive Vice President and Chief Financial Officer and shall report Officer, reporting to and have the duties and responsibilities assigned by Company’s President & Chief Executive Officer (“CEO”) ). Executive will have such duties, authority and responsibility as may be reasonably assigned determined from time to time. Executive shall perform faithfully and diligently all duties assigned to Executive. Company reserves the right to modify Executivetime by Company’s position and duties at any time in its sole and absolute discretionCEO, provided that the duties assigned which are consistent with the position Executive’s position. Executive will, if requested by Company, also serve as an officer or director of Executive Vice President and Chief Financial Officer or are otherwise agreed upon with Executiveany affiliate of Company for no additional compensation.
