Common use of Poseidon Principles Clause in Contracts

Poseidon Principles. The Borrowers shall, upon the request of the Administrative Agent and at the cost of the Borrowers, on or before July 31st in each calendar year, use commercially reasonable efforts to supply or procure the supply to the Administrative Agent all material information necessary in order for the Lenders to comply with their obligations under the Poseidon Principles in respect of the preceding year, including, without limitation, all ship fuel oil consumption data required to be collected and reported in accordance with Regulation 22A of Annex VI and any Statement of Compliance, in each case relating to the Vessels for the preceding calendar year provided always that no Lender shall publicly disclose such information with the identity of the Mortgaged Vessel without the prior written consent of the Company. For the avoidance of doubt, such information shall be confidential information for the purposes of Section 10.16 but the Borrowers acknowledge that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the Lenders' portfolio climate alignment.

Poseidon Principles. The Borrowers shall, upon the request of the Administrative Agent any Lender and at the cost of the Borrowers, on or before July 31st 30th June in each calendar year, use commercially reasonable efforts to supply or procure the supply to the Administrative Facility Agent of all material information necessary in order for the Lenders any Lender to comply with their its obligations under the Poseidon Principles in respect of the preceding year, including, without limitation, all ship fuel oil consumption data required to be collected and reported in accordance with Regulation 22A of Annex VI and any Statement of Compliance, in each case relating to the Vessels Ships for the preceding calendar year provided always that that, no Lender shall publicly disclose such information with the identity of the Mortgaged Vessel Ships without the prior written consent of the CompanyBorrowers. For the avoidance of doubt, such information shall be confidential information "Confidential Information" for the purposes of Section 10.16 Clause 47 (Confidential Information) but the Borrowers acknowledge that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the Lenders' relevant Lender's portfolio climate alignment.

The Borrowers Company shall, upon the request of the Administrative Agent any Lender and at the cost of the BorrowersCompany, on or before July 31st in each calendar year, use commercially reasonable efforts to supply or procure the supply to the Administrative Agent of all material information necessary in order for the Lenders any Lender to comply with their its obligations under the Poseidon Principles in respect of the preceding year, including, without limitation, all ship fuel oil consumption data required to be collected and reported in accordance with Regulation 22A of Annex VI and any Statement of Compliance, in each case relating to the Vessels Mortgaged Vessel for the preceding calendar year year; provided always that no Lender shall publicly disclose such information with the identity of the Mortgaged Vessel without the prior written consent of the Company. For the avoidance of doubt, such information shall be confidential information “Information” for the purposes of Section 10.16 10.16, but the Borrowers acknowledge Company acknowledges that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the Lenders' relevant Lender’s portfolio climate alignment.
