Common use of Poseidon Principles Clause in Contracts

Poseidon Principles. The Borrower shall, upon the request of any Lender which is a signatory to the Poseidon Principles at the time of such request, on or before 31 July in each calendar year, supply or procure the supply to the Administrative Agent (for transmission to all Lenders) the Average Efficiency Ratio (AER) and Vessel Carbon Intensity Certificate prepared by a Recognized Organization (as defined in the Poseidon Principles) and relevant Statement(s) of Compliance in order for such Lender to comply with its obligations under the Poseidon Principles in respect of the preceding calendar year, in each case relating to each Collateral Vessel for the preceding calendar year, provided that no Lender shall publicly disclose such information with the identity of the relevant Collateral Vessel without the prior written consent of the Borrower and, for the avoidance of doubt, such information shall be confidential information for purposes of Section 11.12 but the Borrower acknowledges that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the applicable Lender’s portfolio climate alignment.

Poseidon Principles. The Borrower shall, upon the request of any Lender which is a signatory to the Poseidon Principles at the time of such request, on or before 31 July in each calendar year, supply or procure the supply to the Administrative Agent (for transmission to all Lenders) the Average Efficiency Ratio (AER) and Vessel Carbon Intensity Certificate prepared by a Recognized Organization (as defined in the Poseidon Principles) and relevant Statement(s) of Compliance in order for such Lender to comply with its obligations under the Poseidon Principles in respect of the preceding calendar year, in each case relating to each Collateral Vessel for the preceding calendar year, provided that no Lender shall publicly disclose such information with the identity of the relevant Collateral Vessel without the prior written consent of the Borrower and, for the avoidance of doubt, such information shall be confidential information for purposes of Section 11.12 11.15 but the Borrower acknowledges that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the applicable Lender’s portfolio climate alignment.

Poseidon Principles. The Borrower Borrowers shall, upon the request of any Lender which is a signatory to the Poseidon Principles and at the time cost of such request, the Borrowers on or before 31 31st July in each calendar yearyear commencing from the calendar year of 2025, supply or procure the supply (as specified by the relevant Lender) to the Administrative Facility Agent (for transmission to all Lenders) the Average Efficiency Ratio (AER) and Vessel Carbon Intensity Certificate prepared by a Recognized Organization (as defined in the Poseidon Principles) and relevant Statement(son behalf of that Lender) of Compliance all information necessary in order for such that Lender to comply with its obligations under the Poseidon Principles in respect of the preceding calendar year, including, without limitation, all ship fuel oil consumption data required to be collected and reported in accordance with Regulation 22A of Annex VI and any Statement of Compliance, in each case relating to each Collateral Vessel the Ship owned by it for the preceding calendar year, year provided that no Lender shall publicly disclose such information with the identity of the relevant Collateral Vessel without the prior written consent of the Borrower andalways that, for the avoidance of doubt, such information shall be confidential information “Confidential Information” for the purposes of Section 11.12 Clause 46 (Confidential Information) but the Borrower acknowledges Borrowers acknowledge that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the applicable relevant Lender’s portfolio climate alignment.

Poseidon Principles. (a) The Borrower shall, upon the request of any Lender which is a signatory to the Poseidon Principles Agent (at the time request of such requestany Lender) and at the cost of the Borrower, on or before 31 July in each calendar year, supply or procure the supply to such Lender of all information necessary relating to the Administrative Agent (Ships which is required for transmission to all Lenders) the Average Efficiency Ratio (AER) and Vessel Carbon Intensity Certificate prepared by a Recognized Organization (as defined in the Poseidon Principles) and relevant Statement(s) of Compliance in order for such any Lender to comply with its obligations under the Poseidon Principles in respect of the preceding calendar year, including, without limitation, all ship fuel oil consumption data required to be collected and reported in accordance with Regulation 22A of Annex VI and any Statement of Compliance in each case relating to each Collateral Vessel such Owner’s Ship for the preceding calendar year, year provided always that no Lender Finance Party shall publicly disclose such information with the identity of the relevant Collateral Vessel any Ship without the prior written consent of the Borrower and, for the avoidance of doubt, such Borrower. Such information shall be confidential information “Confidential Information” for the purposes of Section 11.12 clause 46 (Confidential Information) but the Borrower acknowledges Obligors acknowledge that, in accordance with the Poseidon Principles, such information will form part of the information published regarding the applicable relevant Lender’s portfolio climate alignment. (b) For the purposes of this clause 24.21 the following words shall have the following meanings:
