Pooling Agreements. The Company shall procure that: (a) the Pooling Agreements provide for the right of its cancellation by the Company; (b) the Pooling Agreements shall remain in place and be maintained in full force and effect until the Termination Date, unless otherwise agreed by the Facility Agent; and (c) Original Borrower terminates the Pooling Agreements upon the request of the Facility Agent without undue delay provided that an Event of Default has occurred.
