Polycom. Subject to the access rights set forth herein, Polycom and its licensors retain all worldwide right, title and interest in and to the VaaS and all software, materials, and Polycom confidential information made available to Customer via the Internet or otherwise, in connection with the VaaS, and all Intellectual Property Rights with respect thereto, including without limitation, the Software, Documentation, and any and all improvements, derivative works, updates, and modifications thereto, whether made in conjunction with this Agreement or otherwise. There are no implied licenses or rights granted by Polycom under this Agreement; any rights not expressly granted by Polycom hereunder are reserved.
Polycom is a corporation duly organized, validly existing and in good standing under the laws of Delaware, with all requisite power and authority to carry on the business in which it is engaged and to own the property it owns. Polycom is duly qualified and licensed to do business and is in good standing in all jurisdictions where the nature of its business makes such qualification necessary. * Confidential treatment requested. Polycom. ® RealPresence® Resource Manager System Send Usage Data The RealPresence Resource Manager system sends usage data once per hour over a secure TLS connection (port 8443) to a Polycom collection point (▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇▇▇▇▇.▇▇▇). There is no access by any customer or others to view the data received at the collection point. The raw data will be viewable only by Polycom. To avoid any impact to starting and ending calls and conferences, data is never sent between 5 minutes before the hour and 5 minutes after the hour. The following types of data are reported: • License information • Hardware configuration • System resource usage: CPU, RAM, disk, database • System configuration: number of servers, clusters • Feature configuration: Enterprise Directory Integration, conference, endpoints, network topology, user management, alert management, and license management • Number of users, endpoints, sites, and MCUs • Security settings When this information is reported, Customer-identifying user and environment information (such as internal IP addresses, and FQDNs, names of users, devices, and external systems) is made anonymous before being sent from the system. System serial numbers and license information are sent without anonymization and may be used to help improve customer experiences. In total, less than 100KB of data per hour is collected and sent.
Polycom. Polycom was formed to offer news distribution services by satellite from France (one-way VSAT). Polycom is a Paris based company and offers services from satellite hubs located in France and accessing satellites having a worldwide coverage. Polycom's main revenue stream comes from one-way data distribution. They have recently added a two-way capability to their system. FT's interest: 66% (through FCR).
Polycom. In the event Polycom sales of [* * *](s) during any Royalty Period comprise [* * *] or more of total sales of [* * *] by the Parties, Polycom shall pay 3M royalties on such sales of [* * *] based upon the Net Billable Price received by Polycom from its sale of [* * *] during such Royalty Period. Provided, however, that: (A) in no event shall the amount of royalties paid to 3M by Polycom based on its sales of [* * *] during any Royalty Period exceed the amount of royalties paid to Polycom by 3M based on its sales of [* * *] for such Royalty Period; (B) if at any time during a Royalty Period, 3M's royalty is reduced to [* * *] in accordance with the provisions of Section 2.3 (a)(i) above, Polycom's royalty obligation to 3M shall be contemporaneously reduced to [* * *] for the remainder of such Royalty Period; and (C) in the event 3M should decide to delay its launch of the [* * *], Polycom's sales of the [* * *] during any such delay shall not be included in the calculation to determine whether royalties are owed to 3M during the applicable Royalty Period(s).
