Plan Share Reserve. Amount and Timing of Contributions or Purchases. The Board shall determine the amounts of cash or Common Shares to be contributed by the Holding Company to the Trust or the amounts of Common Shares to be purchased by the Trust. Such amounts shall be paid to the Trustee at the time of contribution. In connection with any purchase of Common Shares by the Trust, the Trust may execute a promissory note payable to the Holding Company in the amount up to the aggregate purchase price, containing such terms and conditions as may be agreed by the Holding Company and the Trust. No contributions to the Trust by Directors or Employees shall be permitted.
