Phantom Share Units. ▇▇▇▇ and Employee agree that the certain compensation to be paid by ▇▇▇▇ to Employee shall not be paid currently but shall be deferred, and as deferred, shall be deemed converted into units that are economically equivalent to, but are not actual, shares of ▇▇▇▇ ▇▇▇▇▇, Inc. ("LMI") Common Stock. These "phantom" shares of LMI Common Stock are referred to as "Share Units."
