Common use of Persons Deemed Members Clause in Contracts

Persons Deemed Members. The Company may treat the Person in whose name any Unit shall be registered on the books and records of the Company as a Member and the sole holder of such Unit for all purposes whatsoever and, accordingly, shall not be bound to recognize any equitable or other claims to or interest in such Unit on the part of any other Person, whether or not the Company shall have actual or other notice thereof.

The Company may treat the Person in whose name any Unit Membership Interest shall be registered on the books and records of the Company as a Member and the sole holder of such Unit interest for all purposes of receiving distributions or for any purpose whatsoever and, accordingly, shall shall, to the fullest extent permitted by law, not be bound to recognize any equitable or other claims claim to or interest in such Unit Membership Interest on the part of any other Person, whether or not the Company shall have actual or other notice thereof, except as otherwise expressly provided herein.
