Persons Considered Certificateholders. Before due presentation of a Transferor Certificate for registration of transfer, the Owner Trustee, the Certificate Registrar, and any paying agent for the Transferor Certificates shall treat the person in whose name any Transferor Certificate is registered in the Certificate Register as the owner of the Transferor Certificate for the purpose of receiving distributions pursuant to Section 5.02 and for all other purposes whatsoever, and none of the Owner Trustee, the Certificate Registrar, and any paying agent for the Transferor Certificates shall be bound by any notice to the contrary.
