Common use of Person Deemed Certificateholder Clause in Contracts

Person Deemed Certificateholder. The Issuer, the Delaware Trustee, the Certificate Paying Agent, the Certificate Registrar and any other agent of the Issuer will treat the Person in whose name the Certificate is registered on the Certificate Register as the owner of such Certificate (a) on the applicable Record Date for the purpose of receiving payments of the principal of and interest on such Certificate and (b) on any other date for all other purposes whatsoever (except as otherwise expressly provided in this Agreement), and none of the Issuer, the Certificate Paying Agent, the Certificate Registrar, the Delaware Trustee or any other agent of the Issuer, the Certificate Paying Agent, the Certificate Registrar or the Delaware Trustee will be affected by notice to the contrary.
