Permitted Recipient Clause Samples
Permitted Recipient. A recipient of Confidential Information will not: (i) use Confidential Information of the other party, except as needed to fulfill its obligations or exercise its rights under this Agreement; or (ii) disclose Confidential Information of the other party to any third party, except to its or its Affiliates’ employees, agents and contractors who need to know. The recipient is liable for a breach of this Section 8 by its permitted recipients and will ensure each of those permitted recipients have written confidentiality obligations at least as restrictive as the recipient’s obligations under this Agreement.
Permitted Recipient the officers, partners and senior level employees of Tenant who are involved in lease administration, Tenant’s certified public accountants who have responsibilities related to Operating Charges, Tenant’s attorney if involved in the dispute, any employees of Tenant’s auditor involved with the review, or any person or entity to whom disclosure is required by applicable judicial or governmental authority.
Permitted Recipient any third party Processor appointed by either party and required for the processing of the Shared Personal Data, or each of the parties’ professional advisers, or a relevant supervisory authority or other regulator, or any other third party as may be agreed by the parties in writing from time to time.
Permitted Recipient. 许可的接受者 During the Term, the Receiving Party may disclose the Confidential Information to any of its Affiliates, directors, employees, contractors or professional advisors to the extent that such disclosure is reasonably necessary to perform this Agreement and/or the relevant Ancillary Agreements, provided that (i) the Receiving Party shall procure that each recipient is made aware of and complies with all the Receiving Party’s obligations of confidentiality under this Agreement as if the recipient were a party to this Agreement; and (ii) if the Receiving Party is ▇▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇▇ may disclose the Confidential Information only to its Affiliates within the DreamSmart Group and directors, employees or professional advisors of those companies within the DreamSmart Group pursuant to this Section 18.3. 在本公司经营期限内，接受方可以向其任何关联方、董事、员工、承包商或专业顾问披露保密信息，但以该披露为履行本协议和 /或相关附属协议所合理必需为限，但是 (i)接受方应确保其知晓并遵守接受方在本协议项下的所有保密义务，如同接受方是本协议的一方当事人；以及 (ii)如果接受方是星纪魅族，星纪魅族可以根据本第 18.3条的规定仅向其在Dreamsmart集团内的关联方以及Dreamsmart集团内该等公司的董事、员工或专业顾问披露保密信息。
Permitted Recipient any person referred to in clause 4.1 to whom Confidential Information is disclosed by, or at the request of, a Recipient.
Permitted Recipient. 7.1 The Receiving Party shall, both before and after the disclosure of any Confidential Information to a Permitted Recipients, inform such Permitted Recipients of, and take all practical steps to impress upon him or it, the secret and confidential nature of the Confidential Information and the Receiving Party's obligations under this Agreement (specifically the undertakings under clause 4.3 above).
7.2 The Receiving Party shall be responsible for procuring that the Permitted Recipients abide by the provisions of this Agreement and agree to be bound by the confidentiality undertakings given to the Disclosing Party by the Recipient in this Agreement. The Receiving Party shall be responsible for any breach of the terms of this Agreement by any Permitted Recipient.
7.3 The Receiving Party shall (if requested to do so by the Disclosing Party) procure that the Permitted Recipients give a written undertaking in favour of the Disclosing Party in regard to the Confidential Information on substantially the same terms and conditions contained in this Agreement.
7.4 The Receiving Party's failure to obtain receipt of the written undertaking referred to in clause 7.3 above shall in no way detract from the Receiving Party's obligations in terms of this Agreement and particularly in terms of the remaining provisions of this clause 7 and clause 9.
