Common use of Permitted Free Writing Prospectus Clause in Contracts

Permitted Free Writing Prospectus. Neither the Company nor any of its Subsidiaries has distributed or, prior to the completion of the distribution of the Securities, will distribute any offering material in connection with the offering and sale of the Securities to be sold hereunder by the Agents for the Company, other than the Prospectus and any Permitted Free Writing Prospectus (as defined in Section 19) reviewed and consented to by the Agents.

Permitted Free Writing Prospectus. Neither the Company nor any of its Subsidiaries subsidiaries has distributed or, prior to the completion of the distribution of the Securities, or will distribute any offering material in connection with the offering and sale of the Securities to be sold hereunder by the Agents Manager as principal or agent for the Company, other than the Prospectus and any Permitted Free Writing Prospectus (as defined in Section 1921) reviewed and consented to by the AgentsManager.
