Common use of Performance Subject to Laws Clause in Contracts

Performance Subject to Laws. The Client understands and agrees that the Custodian’s performance of this Agreement, including acting on any Instruction, is subject to the laws (including, without limitation, governmental and regulatory actions, orders, decrees and regulations) applicable to the Custodian as a result of the jurisdiction in which the Custodian or its parent is organized or the Custodian is located or performs this Agreement, including with respect to the holding of any Securities or Cash, and the rules, operating procedures and practices of any relevant Clearance System, stock exchange, or market.
