Each Buyer shall have performed in all material respects all obligations required under this Agreement and such Buyer shall have performed in all material respects all obligations required under the Interim Agreement to be performed by it on or before the Closing Date, and the Sellers shall have received a certificate dated the Closing Date and signed by the Chairman, President or the Chief Financial Officer of each Buyer to that effect, and each Buyer shall have delivered to Sellers on 37 45 or before the Closing Date the documents, instruments and certificates set forth on Schedule 11.2.
