Common use of Performance of Conversion/Exercise Obligations Clause in Contracts

Performance of Conversion/Exercise Obligations. The Company shall have delivered Underlying Shares upon conversion of Shares and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Certificate of Designation;

Performance of Conversion/Exercise Obligations. The Company shall have delivered Underlying Shares upon any demand for conversion of Shares any of the Preferred Stock or exercise of the Warrant(s) and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Certificate of Designation;the Transaction Documents.

Performance of Conversion/Exercise Obligations. The Company shall have delivered Underlying Shares upon any demand for conversion of Shares any of the Debenture(s) or exercise of the Warrant(s) and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each Certificate of Designationthis Agreement and the Transaction Documents;

The Company shall have (a) delivered Underlying Shares upon conversion conversion, if any, of Shares and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each the Certificate of Designation;Designation and (b) delivered Underlying Shares upon exercise of the Warrants and otherwise performed its obligations in accordance with the terms of the Warrants; and

The Company shall have (a) delivered Underlying Shares upon conversion conversion, if any, of Shares issued prior to the applicable Closing and otherwise performed its obligations in accordance with the terms, conditions and timing requirements of each applicable Certificate of Designation;Designation and (b) shall have delivered Warrant Shares upon exercise of the Warrants and otherwise performed its obligations in accordance with the terms of the Warrants.
