PERFORMANCE OF ASSIGNMENT. □ Demonstrates knowledge of job and application of skills for assigned tasks. □ Demonstrates ability in organization, efficiency, and completion of tasks. □ Demonstrates oral communication skills, speech, telephone etiquette, etc. □ Demonstrates proper use, maintenance and storage of equipment and materials. □ Manages/maintains proper files, correspondence, schedules and routine procedures. □ Supports an instructional environment conducive to learning. □ Initiates instructional support of student’s classroom goals and objectives provided by the teacher. PERFORMANCE OF ASSIGNMENT. A responsible attorney will be appointed for each assignment. The responsible attorney may be as- sisted by persons employed by ▇▇▇▇▇ in the perfor- ▇▇▇▇▇ of the assignment. If the performance of the assignment requires the use of external experts, the utilization of the expert and related compensation will be agreed upon with the client before such utilization.
PERFORMANCE OF ASSIGNMENT. The Franchiseeshall during the term of this Agreement make sure that the services, to the extent possible, are performed by the Franchisee personally, though the Franchisee can use its discretion to assign or appoint any other person, service provider or organisation for the performance of the services without affecting the Quality of Service.
PERFORMANCE OF ASSIGNMENT. 5.1. The Client acknowledges and agrees that:
5.1.1. the Company may appoint a Substitute or subcontractor to perform the Services from time to time provided that:
5.1.1.1. such Substitute or subcontractor is suitably skilled, qualified, security cleared (where applicable) and experienced to perform the Services;
5.1.1.2. the Company is responsible for engaging and paying the Substitute or subcontractor; and
5.1.1.3. the Company shall remain liable for the performance of the Services at all times.
5.1.2. subject to the Client’s reasonable operational requirements and the specific nature of the Assignment, the Company shall determine its own schedule when performing the Services and the location in which such Services are performed; and
5.1.3. neither the Client nor any third party shall exercise any supervision, direction or control over the Company as how they perform the Services.
5.2. The Client must not attempt to assign a Representative to a different task or project or otherwise materially vary the Assignment without first agreeing such variation with the Company.
5.3. The Company confirms that the Contractor is contractually obliged to:
5.3.1. assign any IPR in the Work Product to the Client or such third party as the Client may specify;
5.3.2. waive any moral rights in any copyright subsisting in the Work Product;
5.3.3. enters into such supplementary agreements and warranties as the Client may request to protect the Client’s IPR, confidentiality and data privacy; and
5.3.4. take out and maintain the insurance policies specified by the Client under clause 3.1.6.
PERFORMANCE OF ASSIGNMENT. 3.1. The Assignment must be performed in accordance with the Agreement.
3.2. The Assignment must be performed in a professional way in accordance with good research practice and with the expertise, skill and rigour that BeFo has reason to expect from a reputable researcher in the Provider’s area of expertise.
3.3. The Assignment must be performed by the Provider with the staff specified in the Agreement. A staff member must not be replaced without ▇▇▇▇’s written consent. If, due to circumstances beyond the Provider’s control, the staff does not complete the Assignment, the Provider must, if possible, propose new staff with equivalent expertise. If, without stating an objective reason, ▇▇▇▇ does not accept the proposed new staff, BeFo must pay compensation to the Provider for the work performed. This compensation must correspond to the value of the work performed for BeFo. The work results achieved must be submitted to BeFo.
3.4. The Provider must not contract out work without ▇▇▇▇’s written consent. The Provider is responsible for the work of any subcontractors to the same extent as if performed by the Provider.
3.5. During the course of the Assignment, the Provider must plan, conduct and document reference group meetings. The Provider’s expenses associated with reference group meetings must be included in the Assignment even if they are not specifically stated.
3.6. During the implementation of the Assignment, the Provider must keep BeFo informed of the progress of the Assignment and the results that are produced. At BeFo’s request, the Provider must report on its progress in summary written reports. Such reports must follow ▇▇▇▇’s reporting templates. Any expenses the Provider incurs associated with written reporting must be included in the Assignment even if they are not specifically stated.
3.7. During the performance of the Assignment, the Provider must keep BeFo informed of the use of the Assignment’s budget. In the context of reporting in accordance with clause 3.6, the Provider must report their own and any subcontractors’ in-kind contributions. Furthermore, all other funding must be reported.
