Performance of. The Borrower will, and will cause each of its Subsidiaries to, perform all of its obligations under the terms of each ▇▇▇▇ ▇▇▇▇, indenture, security agreement, loan agreement or credit agreement and each other material agreement, contract or instrument by which it is bound, except such non-performances as could not, individually or in the aggregate, reasonably be expected to have a material adverse effect on the business, operations, prop erty, assets, liabilities, condition (financial or otherwise) or prospects of the Borrower and its Subsidiaries taken as a whole.

8.5 Section 5.12 of the Original Agreement is hereby amended by (a) deleting in line 8 on page 50 of the Original Agreement the words "neither take nor shall" and replacing them with the words "not, and shall not" and (b) deleting the word "nor" in said line 8 and replacing it with the word "or". 27
8.6 There is added to Article 5 (Covenants of Developer) of the Original Agreement a new Section 5.17 to read as follows:
Performance of. Obligations Borrower will pay the Notes according to the reading, tenor and effect thereof; and Borrower will and will cause each Subsidiary to do and perform every act and discharge all of the obligations to be performed and discharged by them under the Loan Documents, at the time or times and in the manner specified.

The union stated that although Article was clear and need not be expanded, there was a perception by bargaining unit employees, that certain members of supervision went beyond the intent of this article.
