Performance Deposit. If Buyer is obligated to pay the Performance Deposit to Sellers pursuant to the terms of this Agreement and the amount delivered by the Escrow Agent to Parent, on behalf of Sellers, is less than $10,000,000, then ISG and Buyer shall promptly pay the difference to Parent, on behalf of Sellers, by wire transfer of immediately available funds to Parent's Account.
