Performance and Delegation. The services to be performed hereunder shall be performed by the Project Consultant's and Sub-Consultant's own staff, unless otherwise approved by the Owner in writing. Bez ohledu na výše uvedené může Zdravotnické zařízení delegovat další povinnosti Zkoušejícího a/nebo povinnosti přiděleného Personálu Klinického hodnocení podle této Smlouvy na třetí osoby za předpokladu, že (i) Zkoušející bude osobně dohlížet na práci takové třetí osoby; (ii) třetí osoba bude be deemed Institution’s agent, and Institution will remain fully responsible for the performance of such third-parties under this Agreement; (iv) Institution and the third-party have entered into a written agreement (the “Side Agreement”) that (a) binds such third-party to terms and conditions that are at least as stringent as those contained in this Agreement, including, but not limited to, those regarding Trial conduct, confidentiality, intellectual property, use of information, record retention, and monitoring, and (b) does not conflict with any of Sponsor’s rights and obligations under this Agreement; and (v), (if applicable under Applicable Law, as defined below) Sponsor will be deemed a third-party beneficiary of the Side Agreement and will be entitled to enforce any applicable terms thereunder as related to this Agreement and/or the Trial.
