Common use of PEPs Clause in Contracts

PEPs. Parent shall expressly assume, effective as of the Effective Time, all of the obligations of the Company under the Purchase Contract Agreement, dated as November 25, 1998 (the "Purchase Contract Agreement"), between the Company and U.S. Bank Trust National Association, as Purchase Contract Agent, the Purchase Contracts and the Pledge Agreement (as such terms are defined in the Purchase Contract Agreement) by one or more supplemental agreements as provided in Section 9.01 of the Purchase Contract Agreement.

PEPs.
