Common use of Pending Matters Clause in Contracts

Pending Matters. No suit, action, or other proceeding arising from the actions or omissions of Seller shall be pending or threatened that seeks to, or could reasonably result in a judicial order, judgment, or decree that would, restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and

Pending Matters. No suit, action, or other proceeding arising from the actions or omissions of Seller Buyer or Parent Guarantor shall be pending or threatened that seeks to, or could reasonably result in a judicial order, judgment, or decree that would, restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and;

Pending Matters. No suit, action, or other proceeding arising from the actions or omissions of Seller proceedings shall be pending or threatened that seeks to, (a) against Seller before any court or could reasonably governmental agency which might result in a judicial order, judgment, impairment or decree that would, loss of value as to Seller's title to any part of the Property; or (b) which seeks to restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and.

Pending Matters. No suit, action, or other proceeding arising from the actions or omissions of Seller shall be pending or threatened that seeks to, or could reasonably result in a judicial order, judgment, or decree that would, restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and.

Pending Matters. No suit, action, or other proceeding arising from the actions or omissions of Seller shall be pending or threatened that seeks to, or could reasonably result in a judicial order, judgment, or decree that would, restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and, except for any suit, action, or other proceeding brought by Seller or any of its affiliates.

No suit, action, or other proceeding arising from the actions or omissions of Seller by a Governmental Authority shall be pending or threatened that seeks topending, or could reasonably result to Seller’s Knowledge, threatened which seeks substantial damages from Seller in a judicial order, judgmentconnection with, or decree that would, seeks to restrain, enjoin, or otherwise prohibit prohibit, the consummation of the transactions contemplated Transaction, and no suit, action or other proceeding by this Agreement; andany Person shall be pending which makes the consummation of the Transaction illegal.

No suit, action, or other proceeding arising from the actions or omissions of Seller Buyer shall be pending or threatened that seeks to, or could reasonably result in a judicial order, judgment, or decree that would, restrain, enjoin, or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and

No suit, action, suit or other proceeding arising from the actions or omissions of Seller shall be pending or overtly threatened that against Sellers or Purchaser by or before any court or governmental authority which seeks to, or could reasonably result in a judicial order, judgment, or decree that would, to restrain, enjoin, enjoin or otherwise prohibit the consummation of the transactions contemplated by this Agreement; and.
