Common use of Pending Actions Clause in Contracts

Pending Actions. There is no action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pending, or to Seller's knowledge, threatened against the Property or the transaction contemplated by this Agreement, which, if adversely determined, could individually or in the aggregate have a material adverse effect on title to the Property or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the Property, or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement.

Pending Actions. There is no action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pending, or to Seller's knowledge, threatened threatened, against Seller, the Property or the transaction contemplated by this Agreement, which, if adversely determined, could individually or in the aggregate have a material adverse effect on title to the Property or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the Property, thereof or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement, or the operation of the Property.

Pending Actions. There To Seller's knowledge, there is no pending action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pending, or to Seller's knowledge, threatened against the Property or the transaction contemplated by this AgreementAgreement (nor, to Seller's knowledge, has any such matter been threatened in writing), which, if adversely determined, could individually or in the aggregate have a material adverse an effect on title to the Property or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the Property, thereof or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this AgreementAgreement or which is not covered by insurance.

There To Seller’s knowledge, there is no litigation, action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pendingwhich has been filed or served, or to Seller's knowledge, threatened is otherwise pending against the Property or the transaction contemplated by this Agreement, which, if adversely determined, could individually or in the aggregate have a material adverse effect on title to the Property or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the Property, thereof or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement.

There To Seller's knowledge, there is no action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pending, pending or to Seller's knowledge, overtly threatened in writing against the Property or the transaction contemplated by this Agreement, which, if adversely determined, determined and not covered by Seller's insurance could individually or in the aggregate have a material adverse effect on title to the Property or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the Property, thereof or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement.

There is no action, suit, arbitration, unsatisfied order or judgment, governmental investigation or proceeding pending, or to Seller's knowledge, threatened against the Property Properties or the transaction contemplated by this Agreement, except for those listed on Exhibit B to this Agreement, which, if adversely determined, could individually or in the aggregate have a material adverse effect on title to the Property Properties or any portion thereof, could materially and adversely affect the business, financial position or results of operations of Seller or the PropertyProperties, or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement.

There is no action, suitproceeding (zoning, arbitration, unsatisfied order environmental or judgmentotherwise), governmental investigation or proceeding pendinglitigation pending or, or to the best of Seller's knowledge, threatened against the Property or the transaction contemplated by this AgreementSeller, whichwhich could, if adversely determinedin any manner, could individually or in the aggregate have a material adverse effect on title to the Property or any portion thereof, could materially and adversely affect the businesstransactions contemplated in this Agreement or adversely affect the Property after Closing, financial position nor, to the best of Seller's knowledge, is there any basis for any such action, proceeding, investigation or results of operations of Seller or the Property, or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreementlitigation.
