Common use of PEI Additional Right of Inspection Clause in Contracts

PEI Additional Right of Inspection. Upon reasonable notice, the Company shall, and shall cause the Company's independent public accountants and outside counsel and each of the Company's employees, agents and representatives to: (i) afford the officers, employees and authorized agents, independent public accountants, outside counsel, financing sources and representatives of PEI (the "PEI Representatives") access, during normal business hours, to the offices, properties, other facilities, books and records of the Company and to the Company's independent public accountants and outside counsel and those employees, agents and representatives of the Company who have any knowledge relating to the business, assets and properties of the Company or the Channels and (ii) furnish promptly to the PEI Representatives such additional financial and operating data and other information regarding the business, assets and properties of the Company or the Channels as PEI may from time to time reasonably request; provided, however, that PEI shall not be entitled to exercise such rights of inspection more than once in a twelve (12) month period, unless Lifford or any of its Affiliates are in breach of this Agreement, in which case there shall be no limit on the number of such inspections.
