Payments in Respect of the Global Notes. (a) Except for payments made pursuant to an Offer to Purchase with respect to any Asset Disposition or Change of Control, whenever the Book-Entry Depositary shall receive from the Trustee (or other paying agent under the Indenture) any payment of the principal of, premium, if any, and interest on the Global Notes, such payments shall be distributed promptly to the Depositary on the payment date for the Global Notes.
