Common use of Payment of Transfer Taxes, Fees and Other Expenses Clause in Contracts

Payment of Transfer Taxes, Fees and Other Expenses. The Company agrees to pay any and all original issue taxes and transfer taxes that may be imposed in connection with the purchase of any XXX Fund Interest or the transfer of an unrestricted XXX Fund Interest to an unrestricted brokerage account as provided in Section 3 above, together with any and all other fees and expenses necessarily incurred by the Company in connection therewith.
