Payment of Taxes; Duties of the Trust. Pursuant to Section 10.06 of the Indenture, the Depositor, as borrower on the Junior Subordinated Debt Securities, has agreed to, and it shall, promptly pay any taxes, duties or governmental charges of whatever nature (other than United States withholding taxes) imposed on the Trust by the United States or any other taxing authority.
