Common use of Payment of Taxes and Charges Clause in Contracts

Payment of Taxes and Charges. The Company will from time to time promptly pay to the Warrant Agent, or make provisions satisfactory to the Warrant Agent for the payment of, all transfer taxes and charges that may be imposed by the United States or any state upon the Company or the Warrant Agent in connection with the issuance or delivery of Common Shares upon the exercise of any Warrants, but any such taxes in connection with the issuance of Warrant Certificates or certificates for Common Shares in any name other than that of the registered holder of the Warrant Certificate surrendered shall be paid by such registered holder; and, in such case, the Company shall not be required to issue or deliver any Warrant Certificate or Common Share certificate until such taxes shall have been paid or it has been established to the Company's satisfaction that no tax is due.
