Common use of Payment of Performance Share Units Clause in Contracts

Payment of Performance Share Units. The number of Shares payable hereunder shall be paid as soon as reasonably practicable after December 15 of Year Three but in no event later than two and one-half months following the end of Year Three, in the amount determined in accordance with Section 3; provided, however, in the event of your termination of employment with the Company or its Subsidiaries pursuant to Section 4(a) the Shares shall be paid within thirty (30) days following such termination of employment. Such payment will be subject to withholding for taxes and other applicable payroll adjustments. The Committee’s determination of the amount payable shall be binding upon you and your beneficiary or estate. The value of such Shares shall not bear any interest owing to the passage of time. The number of Shares of Common Stock payable will be rounded down to the nearest Share. No fractional Shares of Common Stock will be issued pursuant to this Agreement.
