Payment; Late Payment Charges. (a) EXCHANGE RATE FOR ROYALTY CALCULATION; MANNER AND PLACE OF PAYMENT. Within 45 days [...***...], the composite report in Section 4.3 (b), the composite report in Section 4.4 (b), the Adjusted US Operating Profit/(Loss) report in Section 4.5 (a); and the Adjusted OUS Operating Profit/(Loss) report in Section 4.5 (b) shall be aggregated and the Party owing funds shall pay the other Party ("Owed Party") in immediately available funds via a Federal Reserve electronic wire transfer to a bank account designated by the Owed Party. All payments to be made by one Party to the other Party under this Agreement will be made in U.S. dollars and may be paid by bank wire transfer in immediately available funds to a bank account designated in writing from time to time by the Party entitled to receive such payment. When conversion of payments from any foreign currency is required with respect to calculation of Net Sales of Products outside the U.S., Lilly shall make such conversion at the exchange rate broadly applied by Lilly to all foreign currency conversions into U.S. dollars on the last business day of the applicable quarter. If the payment is made from outside the U.S., the Party will make the payment in a manner that will not result in a tax liability for the other Party larger than it would be if the payment were made from inside the U.S. with no additional delays in payment when compared to the timing of payment made in the U.S.

Payment; Late Payment Charges. Cerus will pay any purchase price or payment for services due hereunder in Euros in the case Euros are the local currency of the manufacturing site or site of performance of services, and in U.S. Dollars in all other cases, unless the Parties otherwise agree in writing. Such payments shall be made within sixty (60) days after the date of Fenwal’s invoice (thirty (30) days in the case of invoices for PL-2410 resin), by check or wire transfer to a bank account designated in writing by Fenwal.   • Payment of Charges All amounts chargeable to Borrower under Section 6 hereof shall be Obligations secured by all of the Collateral, shall be payable on demand and shall bear interest from the date such advance was made until paid in full at the rate applicable to Revolving Credit Loans from time to time.
