Common use of Payment Indemnification Clause in Contracts

Payment Indemnification. The Board will compensate Independent Contractor at an hourly rate of $110.00 for each hour, or any portion thereof, worked during the term of this Agreement. The Board further agrees to fully defend and indemnify the Independent Contractor and to hold him harmless against any and all claims, assessments, penalties, judgments or losses of any type or nature, whether formal or informal, whether known or unknown, whether directly or indirectly related to the contractual relationship between the parties hereto and/or the duties to be performed by the Independent Contractor relative to the provisions hereof. This shall include, but not be limited to, the payment by Board to Independent Contractor of any court order, administrative order or judgment that might be rendered against Independent Contractor relative to the terms hereof, attorney fees, litigation costs, expert witness fees and all other costs and expenses incurred by Independent Contractor relative hereto. The Board further agrees to provide Independent Contractor with liability insurance coverage relative to any and all such costs and expenses.
