Common use of Passing Off Clause in Contracts

Passing Off. 15.1. You agree that you will not: a) represent yourself as us or our suppliers; b) misrepresent your relationship with us or our suppliers; c) misrepresent the nature and/or effect of your contracts with End Users; d) in any other way pass off your business as being ours or represent that you are in any joint venture with us in the absence of explicit prior written consent from us.
