Parts; Priority Clause Samples
The "Parts; Priority" clause defines the hierarchical order of documents or sections within a contract, establishing which parts take precedence in the event of conflicting terms. Typically, this clause lists the various components of the agreement—such as the main contract, schedules, annexes, and appendices—and specifies their order of priority. For example, if there is a discrepancy between the main body of the contract and an attached schedule, the clause will determine which provision prevails. Its core function is to ensure clarity and avoid disputes by providing a clear mechanism for resolving inconsistencies within the contract documentation.
