Partner Actions. The Partner shall indemnify Ellucian and hold it harmless from and against any Losses incurred or suffered by ▇▇▇▇▇▇▇▇ as a result of: (a) any breach of any Applicable Laws by the Partner; (b) any security breach or vulnerability caused by or on behalf of the Partner; (c) any claim, demand, regulatory or other action that is brought against Ellucian as a result of the acts or omissions of the Partner; or (d) any damage to tangible property or death or personal injury that is caused by the acts or omissions of the Partner. Such obligations will survive the expiry or termination of this EPN Agreement.
Partner Actions. Seller has not taken any action or incurred any obligation or liability on behalf of the Partnership through an exercise of Seller’s actual or apparent authority to act on behalf of the Partnership that has not been approved by the partners of the Partnership as required by the Partnership Agreement and the Partnership Act. Seller nor is not in breach or default under the Partnership Agreement, and no event caused by, relating to or affecting Seller has occurred which, with or without the giving of notice or lapse of time, or both, would constitute a material breach or default, or permit termination, modification or acceleration thereunder.
Partner Actions. The MPF and the USFWS will have the exclusive right to establish, restore, develop and maintain the real estate as a prairie grassland habitat and nature area, using native grasses and plants, in accordance with the SPRRP and more fully described in the Joplin ▇▇▇▇▇ ▇▇. The USFWS shall have access to the property for these purposes. The exact scope of work for the restoration plan will be contained in a financial instrument to be written by the USFWS. In general, the city of Joplin will be responsible for periodic prescribed mowing of the areas, MPF will be responsible for seeding, spraying, and burning the areas, and the USFWS will conduct wildlife monitoring of the area
