Parties in Interest; No Third Party Beneficiaries. (a) This Agreement shall be binding upon, inure to the benefit of, and be enforceable by, the parties hereto and their respective successors and permitted assigns. This Agreement and the rights and obligations of the Parent and the Shareholders hereunder may not be assigned by any of the parties hereto without the prior written consent of the other parties.
