Parties in Interest; No Third Party Beneficiaries. Except as otherwise provided herein, the terms and conditions of this Agreement shall inure to the benefit of and be binding upon the respective heirs, legal representatives, successors and assigns of the parties hereto. APP acknowledges and agrees that the rights and remedies of the Company under this Agreement will be directly available to the Stockholders as third party beneficiaries of the rights and remedies of the Company under this Agreement, including, without limitation, the rights and remedies under Article 14 hereof to indemnification from APP against Damages incurred by the Stockholders resulting from a breach by APP of any representation, warranty or covenant of APP contained herein. Except as provided in the preceding sentence or as otherwise provided herein, neither this Agreement nor any other agreement contemplated hereby shall be deemed to confer upon any person not a party hereto or thereto any rights or remedies hereunder or thereunder.
