Common use of Parties Bound; Benefit Clause in Contracts

Parties Bound; Benefit. This Agreement shall be binding upon the Indemnitors and their respective successors, assigns, heirs and personal representatives and shall be for the benefit of Agent and the Lenders, and of any subsequent holder of the Loan and of any owner of a participation interest therein. In the event the Loan is sold or transferred, then the liability of the Indemnitors to Agent and the Lenders shall then be in favor of both Agent and the Lenders originally named herein and each subsequent holder of the Loan and any of interest therein.

This Agreement shall be binding upon the Indemnitors and their respective successors, assigns, heirs and personal representatives and shall be for the benefit of Agent and the Lenders, and of any subsequent holder of the Loan Loans and of any owner of a participation interest therein. In the event the Loan is Loans are sold or transferred, then the liability of the Indemnitors to Agent and the Lenders shall then be in favor of both Agent and the Lenders originally named herein and each subsequent holder of the Loan and any of interest therein.

In the event the Loan is sold or transferredtransferred as permitted under the Loan Agreement, then the liability of the Indemnitors to Agent and the Lenders shall then be in favor of both Agent and the Lenders originally named herein and each subsequent holder of the Loan and or any of interest thereinportion thereof.

In the event any portion of the Loan Obligations is sold or transferred, then the liability indemnification obligations of the Indemnitors to Agent and the Lenders hereunder shall then be in favor of both Agent and the Lenders originally named herein and each subsequent holder of any portion of the Loan Obligations and any of interest therein, respectively.

In the event the Loan is sold or transferred, then the liability of the Indemnitors to Agent and the Lenders Bank shall then be in favor of both Agent and the Lenders Bank originally named herein and each subsequent holder of the Loan and of any of interest therein.
