Parties and Assignment 20. Strany a postoupení 20.1. Neither Institution nor Investigator shall assign, subcontract or delegate this Agreement or its rights and obligations hereunder, in whole or in part, without the prior written consent of the other Parties. Sponsor may assign, subcontract or delegate this Agreement or its rights and obligations hereunder to its affiliates without the prior written consent of the other Parties in the form of a written notice in compliance with the Notice section of this Agreement. Pharm-Olam may assign this Agreement to Sponsor or a designee of Sponsor without the prior written consent of the other Parties. Pharm-Olam shall provide written notice of any such assignment to the other parties. 20.1. Poskytoval ani Zkoušející nejsou oprávněni postoupit, zadat subdodavateli nebo delegovat tuto Smlouvu nebo zde uvedená práva a závazky, vcelku nebo zčásti, bez předchozího písemného souhlasu druhé Strany. Zadavatel může postoupit, zadat subdodavateli či delegovat tuto Smlouvu nebo z ní plynoucí práva a závazky svým přidruženým subjektům bez předchozího písemného souhlasu ostatních Stran ve formě písemného oznámení v souladu s článkem Oznámení této Smlouvy. Společnost Pharm-Olam může postoupit tuto Smlouvu Zadavateli nebo jmenované osobě Zadavatele bez předchozího písemného souhlasu druhé Strany. Společnost Pharm-Olam takové postoupení písemně oznámí ostatním stranám. 20.2. Sponsor has, at its sole discretion, the right to appoint a new contract research organization (“CRO”) (Institution and Investigator shall be immediately informed) to replace Pharm-Olam or any successor CRO. Upon such appointment, Pharm-Olam or the successor CRO, as applicable shall assign this Agreement to the new CRO. 20.2. Zadavatel má právo dle svého uvážení jmenovat novou smluvní výzkumnou organizaci (dále jen „CRO“) (Poskytovatel a Zkoušející budou o tomto okamžitě informováni) a nahradit tak společnost Pharm-Olam nebo jakoukoliv následnou CRO. Po takovém jmenování společnost Pharm-Olam nebo následná CRO, podle vhodnosti, postoupí tuto Smlouvu nové CRO. 20.3. This Agreement shall bind and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.
