Common use of Participating Entity Clause in Contracts

Participating Entity. The Agent shall also have received on or before any date after the Closing Date on which a person becomes a Participating Entity (i) a copy of resolutions of the Board of Directors and, if necessary, the shareholders, partners or members of such person certified as in full force and effect on the date thereof by the Secretary or Assistant Secretary of such person, authorizing such person's execution, delivery and performance of, the Credit Documents and all other agreements and instruments that this Agreement requires to be executed, delivered and performed by such person; (ii) a copy of the organizational documents of such person, certified as true and correct on and as of the date on which Credit Documents are executed and delivered by such person; (iii) certificates of good standing with respect to such person from the appropriate Governmental Authorities in the jurisdiction under the Laws of which such person is incorporated or formed; (iv) an opinion of counsel to such person consistent with the form of the opinions of counsel to the Borrowers previously delivered (with such changes therein as are appropriate in the circumstances) as to the execution and delivery by such person of the Credit Documents and other matters related thereto; (v) fully executed copies of all Credit Documents that this Agreement requires to be executed or delivered (or both) by such person (including a fully executed Assumption Agreement); (vi) UCC search reports on such person from such jurisdictions and filing offices as Lenders and Agent may require; and (vii) such additional supporting documents as the Agent, its counsel or the Required Lenders may reasonably request.
