PARTICIPATING AFFILIATES. 12.11.1 With the consent of the Employer and by duly authorized action, any Affiliate may adopt the Plan. Such Affiliate shall determine the classes of its Employees who shall be Eligible Employees and the amount of its contribution to the Plan on behalf of such Employees.
PARTICIPATING AFFILIATES. If this Plan is adopted as a standardized Plan, each Affiliate shall automatically become a Participating Affiliate effective as of the later of the Effective Date or the date such entity first becomes an Affiliate. If this Plan is adopted as a nonstandardized Plan, an Affiliate of the Employer may adopt the Employer's Plan effective as of any date on or after the Effective Date. An Affiliate's execution of the Adoption Agreement (or a separate signature page to the Adoption Agreement) shall evidence the Participating Affiliate's adoption of the Plan and the effective date of such adoption. In adopting this Plan, each Participating Affiliate is deemed to have authorized the Employer to effect all actions under this Plan on its behalf, including but not limited to the powers reserved to the Employer under this section 14 and the power to enter into such agreements with the Trustee or others as may be necessary or appropriate under the Plan.
PARTICIPATING AFFILIATES. You are responsible for Your Participating Affiliates’ compliance with the EA Program Terms.
PARTICIPATING AFFILIATES. If Participant has one or more Affiliates that shall be Participants and has authority to contract for such Affiliates, the Affiliates shall be listed on Exhibit D of this Agreement (“Participating Affiliates”) and each party so listed shall be individually entitled to the rights and subject to the obligations set forth in the Participation Agreement. Entities that control one another or are under common control by a parent or other entity (“Affiliates''), may elect to participate in the HIE Network as a single Participant or multiple Participants.

PARTICIPATING AFFILIATES. The definition of “Employer” under the Plan includes the Plan Sponsor and any Participating Affiliates.
PARTICIPATING AFFILIATES. If certain affiliates of the Company wish to participate in the Plan and their participation shall have been approved by the Board, the Board of Directors of the affiliate shall adopt a resolution in form and substance satisfactory to the Management Committee authorizing participation by the affiliate in the Plan. Certain affiliates may cease to participate in the Plan at any time by action of the Board or by action of the Board of Directors of such affiliate, which latter action shall be effective not earlier than the date of delivery to the Secretary of the Company of a certified copy of a resolution of such affiliate’s Board of Directors taking such action. Termination of participation in the Plan shall not relieve such affiliate of any obligations theretofore incurred by it under the Plan.
PARTICIPATING AFFILIATES. With the consent of the Committee, any Affiliate that is not considered a single employer with Cinco under Code Section 414(b) or Code Section 414(c) may adopt the Plan for the benefit of its Employees by written instrument delivered to the Committee before the grant to the Affiliate’s Employees under the Plan of any Award subject to Section 409A.
PARTICIPATING AFFILIATES. Any subsidiary or affiliated entity of the Company may adopt this Trust and, thus, become a "Participating Affiliate" under this Trust Agreement. Notwithstanding any provision of this Agreement to the contrary, to the extent the Trust benefits employees of Company's Participating Affiliate, the assets of the Trust shall be subject to the claims of the general creditors of both the Company and its Participating Affiliates. The Company shall immediately notify the Trustee in writing when an entity becomes a Participating Affiliate in accordance with this section, and the Trustee shall not be deemed to have any knowledge of such adoption until it receives such written notice from the Company. When the Trust has been adopted by a Participating Affiliate, such Participating Affiliate shall be bound by the decisions, instructions, actions and directions of the Company under or affecting this Agreement. The Trustee shall not be required to give notice to or to obtain the consent of any Participating Affiliate with respect to any action to be taken by the Trustee pursuant to this Agreement, and the Company shall have the sole authority to enforce this Agreement on behalf of any Participating Affiliate. Participating Affiliates as of the date hereof are set forth in Appendix B.
