PARTIAL INVALIDITY / SEVERANCE Clause Samples

The Partial Invalidity/Severance clause ensures that if any part of a contract is found to be illegal, invalid, or unenforceable, the remainder of the agreement remains effective and binding. In practice, this means that only the problematic provision is removed or modified, while the rest of the contract continues to operate as intended. This clause is essential for maintaining the integrity of the agreement, as it prevents the entire contract from being voided due to a single unenforceable term, thereby preserving the parties' overall intentions and minimizing disruption.
PARTIAL INVALIDITY / SEVERANCE. If, at any time, any provision of this Agreement is or becomes illegal, invalid or unenforceable in any respect under any applicable Law, neither the legality, validity or enforceability of the remaining provisions of this Agreement will in any way be affected or impaired.
If any provision of this Agreement (or part of a provision) is determined to be invalid, unenforceable or illegal, the Executive Committee shall agree and replace such provision with another one which achieves, to the greatest extent possible, the same effect as would have been achieved by the invalid or unenforceable provision. The remainder of this Agreement shall remain in full force and effect. Nothing in this Agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the Parties or constitute any Party the agent of another Party.
