Common use of Partial Indemnity Clause in Contracts

Partial Indemnity. If Indemnitee is entitled under any provision ----------------- of this Agreement to indemnification by the Company for some or a portion of the expenses, judgments, fines or penalties actually or reasonably incurred by Indemnitee in the investigation, defense, appeal or settlement of any civil or criminal action, suit or proceedings but not, however, for the total amount thereof, the Company shall nevertheless indemnify Indemnitee for that portion to which Indemnitee is entitled.

Partial Indemnity. If the Indemnitee is entitled under any provision ----------------- of this Agreement to indemnification by the Company for some or a portion of the costs, charges, expenses, judgments, fines or penalties actually or reasonably incurred by Indemnitee and amounts paid in the investigation, defense, appeal or settlement of any civil or criminal action, suit or proceedings a Proceeding but not, however, for the total amount thereof, the Company shall nevertheless indemnify the Indemnitee for that the portion thereof to which the Indemnitee is entitled.

If Indemnitee is entitled under any provision ----------------- of this Agreement to indemnification by the Company or the Partnership for some or a portion of the expensesjudgments and Expenses arising from or relating to a claim, judgments, fines or penalties actually or reasonably incurred by Indemnitee in the investigation, defense, appeal or settlement of any civil or criminal action, suit or proceedings proceeding but not, however, for all of the total amount thereof, the Company or the Partnership shall nevertheless indemnify Indemnitee for that the portion to which Indemnitee is entitled.

If Indemnitee is entitled under any provision ----------------- of this Agreement to indemnification by the Company Corporation for some or a portion of the expensesExpenses, judgments, fines fines, penalties (including excise or penalties actually or reasonably incurred by Indemnitee similar taxes), and amounts paid in the investigation, defense, appeal or settlement of any civil a Claim or criminal action, suit or proceedings Proceeding but not, however, for all of the total amount thereof, the Company Corporation shall nevertheless nevertheless, to the fullest extent permitted by applicable law, indemnify Indemnitee for that the portion thereof to which Indemnitee is entitled.
