Common use of Parent Approval Clause in Contracts

Parent Approval. The board of directors of Parent, after considering the transactions contemplated by this Agreement, has determined: (a) to authorize Parent and its subsidiaries (including GSK) to consummate the transactions contemplated by this Agreement on the terms set forth herein and in the Plan of Arrangement; and (b) to authorize Parent to execute and deliver this Agreement.

Parent Approval.
